Kuibl Terms of Service

1. Acceptance of Terms

By accessing, downloading, or using the Kuibl application, website, or related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Kuibl ("we," "us," or "our").

2. Description of Service

Kuibl provides a digital study planning platform designed to help students organize their academic schedules, track tasks, manage deadlines, and improve productivity. The Service includes software applications available on various devices, data synchronization, and related online features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. Account Registration

To fully utilize the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are responsible for safeguarding your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Free and Premium Services

Kuibl offers both free and premium (paid) tiers of service. The free tier provides basic study planning functionality. Premium tiers may offer additional features, enhanced storage, and premium integrations. We reserve the right to change the features included in the free or premium tiers at our discretion.

5. Payments and Subscriptions

If you choose to upgrade to a premium tier, you agree to pay the fees associated with that tier. Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually). Your subscription will automatically renew unless canceled before the end of the current billing cycle. You may cancel your subscription at any time through your account settings. Payments are non-refundable, except as required by applicable law.

6. User Content

You retain all ownership rights to the data, text, schedules, notes, and other materials you submit or create using the Service ("User Content"). By using the Service, you grant Kuibl a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, and display your User Content solely for the purpose of operating and improving the Service. You are solely responsible for the legality, reliability, and appropriateness of your User Content.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights.
• Upload or transmit viruses, malware, or any other malicious code.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service, other user accounts, or our computer systems.
• Use the Service for any automated data scraping or extraction without our prior written consent.

8. Intellectual Property

The Service, including its original content, features, functionality, software, design, and graphics, is the exclusive property of Kuibl and its licensors. The Service is protected by copyright, trademark, and other laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of our Service without our express written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. KUIBL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KUIBL, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Kuibl and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password, or b) a breach of these Terms.

12. Account Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service or initiate the account deletion process through the app settings.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the applicable jurisdiction, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

16. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
